These Terms and Conditions ("Agreement") govern the use of Kendal AI services. By completing the payment process, the Client agrees to the terms outlined below. This Agreement is made between CrowdPad Incorporated, doing business as Kendal AI ("Kendal AI"), a Delaware corporation, and the Client ("Client"), who will be identified during the payment process.

1. Scope of Services

Kendal AI is an AI-powered operating system for real estate professionals. The platform offers a modular set of tools that streamline sales workflows, improve lead conversion, and reduce administrative overhead. Depending on the selected plan or custom proposal, the services may include:

1.1 AI-Powered WhatsApp Lead Qualification

Custom-built AI workflows deployed on WhatsApp that automatically qualify and segment leads based on predefined rules such as budget range, buyer intent, timeline to purchase, preferred location, and more. These flows are customizable and can simulate natural human conversations.

1.2 WhatsApp Broadcast Automation

Enables the Client to send scheduled WhatsApp campaigns using pre-approved templates. Common use cases include quarterly check-ins, and dormant lead reactivation. Templates may include variable fields (e.g., name, budget) and media support.

1.3 CRM Dashboard

A real estate-optimized dashboard for managing the full lead lifecycle. Includes:

  • Lead intake and lead-assignment

  • Status pipelines (new, contacted, qualified, site visit, closed, etc.)

  • Team performance tracking

  • Role-based access controls

  • Filters for buyer type, lead source, agent assignment, etc.

1.4 AI Voice Assistant

An integrated AI voice tool that currently handles scheduling of meetings and to-dos. Future enhancements will include voice-triggered CRM updates, real-time notes, and smart nudges for pipeline management based on system data scanning and beyond.

1.5 No-Code Website Builder

Allows Clients to launch a full-featured brokerage site or landing pages without developer input. The builder includes:

  • Property listing blocks

  • Lead capture forms

  • Media and testimonial sections

1.6 Email Campaign Builder (Coming Soon)

A native drag-and-drop editor for designing email campaigns. Emails can be targeted to CRM contacts based on filters like deal stage, last contact date, or property interest. Includes analytics on opens, clicks, and conversions.

1.7 Meta Ad Account Connection

Clients may connect their Meta (Facebook and Instagram) ad accounts to Kendal AI for:

  • Real-time lead ingestion from Meta forms

  • Automated qualification via WhatsApp

  • Attribution insights tied back to specific ads and audiences

1.8 Real Estate Portal Integrations

Kendal AI supports direct lead syncing from portals such as:

  • Property Finder (UAE)

  • Bayut & Dubizzle (UAE)

Other portals may be integrated on a case-by-case basis. Clients can manage portal leads with tagging, status assignment, and follow-up automation inside the CRM.

Access to specific services is determined by the subscription plan or a mutually agreed custom proposal.

2. Payment Terms

2.1 Initial Subscription Fee

The fee depends on the services selected at checkout or outlined in the Client’s proposal. Fees may include onboarding, API setup, and feature access.

2.2 Monthly Subscription Fees

  • Monthly fees are billed based on the number of users and tier selected.

  • WhatsApp API charges (as imposed by Meta) are billed separately and must be paid directly by the Client. These are not included in Kendal AI’s pricing.

2.3 Service Start & Onboarding

Service begins after payment is received. Kendal AI provides:

  • Video tutorials

  • Dedicated onboarding guidance

Client delays (e.g., incomplete Meta access, unapproved templates) may impact timelines. Kendal AI is not responsible for such delays.

2.4 Meta Compliance Responsibility

Clients are solely responsible for compliance with Meta policies. If a number is banned, blocked, or restricted by Meta, Kendal AI bears no liability. Clients must use the platform in compliance with WhatsApp Business API terms.

2.5 Compliance with Local Laws

Clients operating in the UAE or other jurisdictions must comply with digital communication and cold outreach regulations. Kendal AI does not monitor Client campaigns for legal compliance.

2.6 No Refunds

All payments made to Kendal AI are non-refundable, including fees for onboarding, feature access, or subscription terms—regardless of usage, performance, or early termination by the Client.

2A. Client Operational Responsibilities

To ensure timely setup and uninterrupted service, the Client agrees to:

  • Provide accurate and complete business information during onboarding.

  • Set up or assign access to Meta Business Manager and WhatsApp Business API accounts as required. While it is not mandatory to give Kendal AI Meta Business access, if required for integration or setup, the Client is responsible for providing it.

  • Submit message templates for Meta approval if using WhatsApp campaigns.

  • Assign internal team members and provide timely responses to onboarding and setup communications.

  • Maintain updated contact details and user access permissions within the platform.

  • Ensure internal teams are trained to follow data handling, platform usage, and messaging best practices.

  • Manage their own telecom infrastructure, including obtaining SIM cards or phone numbers as needed for WhatsApp integration.

Kendal AI is not liable for onboarding delays, misconfigurations, or feature limitations caused by incomplete Client actions, lack of responsiveness, or improper setup from the Client’s side.

2B. Support Coverage & SLA

Kendal AI provides support via WhatsApp and email between 9:00 a.m. to 6:00 p.m. Gulf Standard Time (GST), Monday to Friday.

All messages received during working hours will be responded to within 24 hours. Requests made outside of working hours may be addressed on a best-effort basis, but Kendal AI does not guarantee immediate availability or resolution outside the stated support hours.

For non-urgent issues, Clients are encouraged to email support@kendal.ai. For time-sensitive matters, the dedicated WhatsApp group remains the fastest and most direct channel during business hours.

Training sessions:

Kendal AI provides a maximum of two training sessions per Client account. Additional sessions are not guaranteed and will be evaluated on a case-by-case basis, depending on the scope and scale of the Client’s contract. While we remain committed to supporting our clients fully, all primary support and training will be delivered online unless explicitly agreed before.

3. Contract Duration, Cancellations, and Renewals

3.1 Trial and Lock-In Periods

  • All new Clients are subject to a three (3) month trial period.

  • If the Client does not provide written notice at least 15 days prior to the trial’s end, the agreement automatically renews into a 12-month annual contract.

3.2 Annual Contract Terms

  • Once initiated, the Client is legally bound to pay for the entire 12-month term, regardless of usage.

  • The number of users/licenses is locked for the contract duration. Mid-term reductions are not permitted.

  • Additional users or features may be co-termed to align with the primary renewal cycle.

3.3 Early Termination

  • Termination during the annual contract is not permitted for convenience.

  • The Client may only terminate early for cause, such as:

    • Kendal AI’s material breach (uncured within 30 days)

    • Bankruptcy or insolvency

    • Mutually agreed resolution

3.4 Auto-Renewal and Pricing

  • Contracts auto-renew for an additional 12 months unless written notice is provided at least 30 days before renewal.

  • Subscription prices may increase upon renewal unless price protection was agreed in writing.

4. Data Ownership and Retrieval

Upon cancellation or expiration:

  • Clients will have 60 days to export data, including:

    • Lead records

    • WhatsApp conversations

    • CRM activity logs

  • Kendal AI is not obligated to store or provide access to Client data beyond this 60-day period.

5. Acceptable Use

The Client agrees not to use Kendal AI’s services for spam, fraudulent activities, harassment, misleading communications, or in any manner that violates applicable laws or the policies of third-party platforms such as Meta. Kendal AI reserves the right to suspend or terminate service access without refund in the event of prohibited use.

6. Indemnification, Warranty Disclaimer, and Limitation of Liability

6.1 Indemnification

The Client agrees to indemnify, defend, and hold harmless Kendal AI, its affiliates, directors, officers, and employees from any and all claims, damages, liabilities, costs, or expenses (including legal fees) arising from:

  • Violation of Meta or local communication laws

  • Misuse of the platform or third-party integrations

  • Unauthorized content distribution, spam, or user data exposure due to Client-side error

6.2 Disclaimer of Warranties

Kendal AI provides its software and services “as is” and “as available” without any warranties of any kind, express or implied. While Kendal AI strives for continuous performance and accuracy, it does not warrant that:

  • The platform will be uninterrupted, secure, or error-free

  • All bugs or technical issues will be immediately resolved

  • The outcomes of using the platform (e.g., lead conversion, revenue) will meet Client expectations

Clients acknowledge that Kendal AI is in active development and may experience occasional service disruptions, performance fluctuations, or feature limitations as the system scales.

6.3 Limitation of Liability

To the maximum extent permitted by law, Kendal AI’s total liability under this Agreement—whether in contract, tort, or otherwise—will not exceed the amount paid by the Client in the three (3) months preceding the event giving rise to the claim.

Under no circumstances will Kendal AI be liable for:

  • Indirect, incidental, or consequential damages

  • Loss of profits, business, or data

  • Third-party service outages (e.g., Meta API downtimes)

6.4 Service Level Expectations

Kendal AI will make commercially reasonable efforts to ensure platform stability and support. However, no specific uptime guarantees or service-level agreements (SLAs) are provided at this time.

7. Dispute Resolution

In the event of any dispute or claim arising out of or in connection with this Agreement, the parties shall first seek resolution through good faith informal negotiations. If unresolved, the matter shall be submitted to binding arbitration under the rules of the American Arbitration Association (AAA), with venue in the State of Delaware, USA. Judgment on the arbitration award may be entered in any court having jurisdiction.

8. General Terms

  • Governing Law: This Agreement is governed by the laws of the State of Delaware, United States.

  • Pricing Changes: Pricing may be revised upon renewal or upgrade. Final pricing is reflected in the proposal or checkout confirmation.

  • Modifications: Kendal AI may amend these terms at any time. Continued platform use indicates acceptance of changes.

  • Force Majeure: Neither party is liable for delays or failures caused by circumstances beyond their control (e.g., natural disasters, internet outages, governmental restrictions).

By completing payment through Stripe or any authorized gateway, the Client confirms full acceptance of these Terms and Conditions.
