Kendal AI Terms & Conditions


These Terms and Conditions ("Agreement") govern the use of Kendal AI services. By completing the payment process, the Client agrees to the terms outlined below. This Agreement is made between CrowdPad Incorporated, doing business as Kendal AI ("Kendal AI"), a Delaware corporation, and the client.

Corporate Structure & Operating Entity: Kendal AI is owned and operated by CrowdPad Incorporated, a Delaware corporation, which retains all intellectual property, software, platform, and brand rights related to Kendal AI.

Kendal AI Tech LLC, a Dubai-registered entity, acts as Kendal AI’s local operating entity in the UAE and certain international markets, and is responsible for regional operations, employment, invoicing, and payment collection on behalf of Kendal AI.

For the avoidance of doubt, no intellectual property or ownership rights are transferred to Kendal AI Tech LLC or to the Client under this Agreement.


1. Scope of Services

Kendal AI is an AI-powered operating system for real estate professionals. The platform offers a modular set of tools that streamline sales workflows, improve lead conversion, and reduce administrative overhead. Depending on the selected plan or custom proposal, the services may include:


1.1 AI-Powered WhatsApp Lead Qualification

Custom-built AI workflows deployed on WhatsApp that automatically qualify and segment leads based on predefined rules such as budget range, buyer intent, timeline to purchase, preferred location, and more. These flows are customizable and can simulate natural human conversations.


1.2 WhatsApp Broadcast Automation

Enables the Client to send scheduled WhatsApp campaigns using pre-approved templates. Common use cases include quarterly check-ins and dormant lead reactivation. Templates may include variable fields (e.g., name, budget) and media support.


1.3 CRM Dashboard

A real estate-optimized dashboard for managing the full lead lifecycle, including:

  • Lead intake and lead assignment


  • Status pipelines (new, contacted, qualified, site visit, closed, etc.)


  • Team performance tracking


  • Role-based access controls


  • Filters for buyer type, lead source, agent assignment, and more


1.4 AI Voice Assistant (Beta)

An integrated AI voice tool that currently handles scheduling of meetings and to-dos. Future enhancements may include voice-triggered CRM updates, real-time notes, and smart nudges for pipeline management based on system data scanning.


1.5 No-Code Website Builder

Allows Clients to launch a full-featured brokerage site or landing pages without developer input. The builder includes property listing blocks, lead capture forms, and media and testimonial sections.


1.6 Email Campaign Builder 

An editor for designing email campaigns. Emails can be targeted to CRM contacts based on filters like deal stage, last contact date, or property interest. Includes analytics on opens, clicks, and conversions.


1.7 Meta Ad Account Connection

Clients may connect their Meta (Facebook and Instagram) ad accounts to Kendal AI for real-time lead ingestion, automated WhatsApp qualification, and attribution insights tied to specific ads and audiences.


1.8 Real Estate Portal Integrations

Kendal AI supports direct lead syncing from portals such as Property Finder, Bayut, and Dubizzle. Other portals may be integrated on a case-by-case basis.

Access to specific services is determined by the selected subscription plan or custom proposal.


1.9 LeadPool (Round-Robin Lead Assignment)

Kendal AI includes a LeadPool feature that enables basic round-robin lead assignment across assigned users.

Leads entering the system are distributed sequentially among eligible users based on the LeadPool configuration at the time of lead intake. LeadPool does not include workflow automation, performance-based routing, or advanced assignment logic.

Kendal AI does not guarantee equal lead distribution, response times, or outcomes, as assignment is dependent on system configuration and lead flow volume.


1.10 Off-Plan Directory

Kendal AI includes an off-plan section that functions as a directory of off-plan projects available within the platform.

The off-plan directory displays project-related information sourced from third-party platforms and data providers. This section is provided for reference and visibility purposes only and does not manage inquiries, lead routing, deal tracking, or transactional workflows related to off-plan projects.

Kendal AI does not guarantee the accuracy, completeness, timeliness, or ongoing availability of off-plan data. Such information is dependent on third-party sources and may change, be delayed, incomplete, or become outdated without notice.

Clients are solely responsible for independently verifying all off-plan information before relying on it for advisory, marketing, or transactional use.


1.11 Resource Library

Kendal AI provides a library section that allows Clients to upload, store, and manage internal company resources, including documents, templates, and reference materials.

The Client is solely responsible for the content uploaded to the library, including its accuracy, legality, and compliance with applicable laws and third-party rights. Kendal AI does not review, validate, or moderate uploaded materials.


1.12 Database & Data Management

Kendal AI includes database functionality that allows Clients to upload external datasets, including spreadsheets and contact files, into the platform.

Uploaded data may be used for internal purposes such as contact management, status tracking, note-taking, internal assignment, and follow-up coordination. Kendal AI does not validate the accuracy, completeness, or compliance of uploaded data.

The Client remains solely responsible for ensuring that uploaded data complies with applicable data protection, privacy, and communication regulations.


1.13 Deal Management & Approval Stages

Kendal AI includes deal management functionality that allows Clients to track transactions through defined deal stages.

Clients may configure internal deal approval stages based on role-based permissions. Approval visibility and enforcement are dependent on the Client’s configuration and internal processes.

Kendal AI does not verify deal terms, pricing accuracy, regulatory compliance, or brokerage approvals.


1.14 Calendar Integration

Kendal AI supports calendar connections with third-party calendar providers, including Google Calendar and Microsoft Outlook, to enable scheduling visibility and coordination.

Calendar functionality depends on third-party APIs and permissions granted by the Client. Kendal AI does not guarantee uninterrupted syncing, real-time updates, or availability and is not responsible for discrepancies caused by third-party calendar systems.


2. Payment Terms


2.1 Initial Setup Fee

Fees depend on the services selected at checkout or outlined in the Client’s proposal and may include onboarding, API setup, and feature access.


2.2 Monthly Subscription Fees

Monthly fees are billed based on the number of users and tier selected. WhatsApp API charges imposed by Meta are billed separately and must be paid directly by the Client.

Failure to pay WhatsApp API charges may result in service disruption for which Kendal AI bears no responsibility.


2.3 Service Start & Onboarding

Service begins after payment is received. Kendal AI provides video tutorials and onboarding guidance. Delays caused by incomplete Client actions are not the responsibility of Kendal AI.


2.4 Compliance with Local Laws

Clients must comply with all applicable digital communication and outreach regulations. Kendal AI does not monitor campaigns for legal compliance.The Client is solely responsible for determining, reporting, and paying any applicable taxes, duties, levies, or government charges arising from their use of the Services, including but not limited to VAT, sales tax, or withholding taxes, as required under local law. Kendal AI shall not be responsible for advising on tax obligations or liabilities.


2.5 No Refunds

All payments made to Kendal AI are non-refundable, except as expressly stated during an applicable trial period.

Where a trial period applies, the Client may terminate the Services within the trial period by providing written notice in accordance with the contract terms. In such cases, a refund will be processed only for the unused portion of the subscription term, calculated on a prorated basis, excluding any onboarding, setup, or third-party costs already incurred.

Once the trial period has ended, or if the Client fails to provide timely written notice within the trial period, the agreement will automatically continue into the applicable paid subscription term, and no refunds will be issued for any reason, including early termination, non-usage, or dissatisfaction.


2A. Client Operational Responsibilities

To ensure timely onboarding, successful setup, and uninterrupted service delivery, the Client agrees to actively cooperate with Kendal AI throughout onboarding and ongoing usage of the platform.

Where the Client has opted for data migration or data import services, the Client is solely responsible for providing all required data, files, credentials, and instructions in the format and manner requested by Kendal AI. All migration-related materials must be provided accurately, completely, and within the timelines communicated by Kendal AI. Kendal AI is not responsible for delays, errors, or limitations resulting from incomplete, inaccurate, outdated, or late data provided by the Client.

The Client agrees to:

  • attend scheduled onboarding, setup, and review meetings on time


  • ensure relevant decision-makers or technical contacts are present where required


  • respond to information requests, approvals, and configuration questions within a reasonable timeframe


  • provide timely access to third-party systems, accounts, or platforms where integration is required


Failure to do so may result in onboarding delays, limited functionality, or rescheduling of services, for which Kendal AI bears no responsibility.

The Client acknowledges that onboarding is not instantaneous. The standard onboarding timeline is a minimum of four (4) weeks, subject to scope, integrations, data readiness, and Client responsiveness. Delays caused by Client inaction, unavailability, or incomplete submissions may extend onboarding timelines without penalty or liability to Kendal AI.

Kendal AI is not obligated to commence, continue, or complete onboarding activities until all required Client inputs have been received.


2B. Support Coverage & Training


2B.1 Support Coverage

Kendal AI provides support primarily via WhatsApp or email during standard business hours, which are 9:00 a.m. to 6:00 p.m. Gulf Standard Time (GST), Monday to Friday, excluding public holidays.

Support requests are prioritised based on the nature and severity of the issue:

  • Critical listing-related issues that materially block active listings or portal visibility will typically receive an initial response within two (2) business hours.


  • Non-listing-related issues that still represent a functional blocker may typically receive an initial response within six (6) business hours.


  • General requests, questions, or non-blocking issues are typically responded to within twenty-four (24) to forty-eight (48) business hours.


Response times are indicative targets and not guaranteed service levels. Resolution timelines may vary depending on issue complexity, third-party dependencies, and Client responsiveness.

For non-urgent matters, Clients may also contact Kendal AI via email. WhatsApp remains the primary and fastest support channel during business hours.


2B.2 Training & Enablement

Each Client account is entitled to one (1) training session per quarter.

Training sessions may be delivered in-person or online, depending on account size, scope, and operational requirements. The format and scheduling of training sessions are determined by the assigned account manager in coordination with the Client.

Training is structured into two distinct categories:

  • Agent training, focused on day-to-day platform usage


  • Admin training, focused on system configuration, permissions, listings, and oversight


In addition to the standard entitlement, additional training sessions may be scheduled at Kendal AI’s discretion on a case-by-case basis, depending on account needs, complexity, and capacity.

Kendal AI reserves the right to limit, reschedule, or consolidate training sessions to ensure operational efficiency across accounts.


2C. Platform Availability & Service Levels

Kendal AI uses commercially reasonable efforts to ensure platform availability but does not guarantee uninterrupted or error-free operation. Temporary interruptions may occur due to maintenance, updates, or third-party outages.


2D. Planned Maintenance & Updates

Kendal AI may perform maintenance and updates from time to time to ensure platform stability, security, and performance. Such maintenance may result in temporary service interruptions, and Kendal AI bears no liability for any downtime arising from these activities.

Planned Maintenance and Upgrades.
Planned maintenance includes scheduled system upgrades, feature enhancements, infrastructure improvements, and routine maintenance. Where reasonably practicable, Kendal AI will provide advance notice of planned maintenance that may materially impact service availability.

Emergency Maintenance.
Emergency maintenance may be required to address security vulnerabilities, system failures, third-party outages, or other urgent technical issues. Emergency maintenance may be carried out without prior notice if necessary to protect the integrity, security, or functionality of the platform.

System Updates and Improvements.
Kendal AI may deploy system updates, patches, and enhancements as part of the ongoing development of the platform. These updates may modify, improve, or deprecate certain features. Kendal AI does not guarantee uninterrupted access during such updates and is not liable for any resulting service interruption.


2E. Feature Modifications & Product Evolution

Kendal AI is an evolving platform. Kendal AI may modify, enhance, or discontinue features. Such changes will not materially reduce the core subscribed functionality during an active contract term.


2F. Data Migration & Import Limitations

Data migration and import assistance is provided on a best-effort basis only. Kendal AI is not responsible for discrepancies caused by source data quality, third-party limitations, or incomplete Client information.

Where the Client has opted for data migration or data import services, Kendal AI will import data strictly as provided by the Client.

The Client is solely responsible for:

  • preparing data in the required format communicated by Kendal AI


  • ensuring accuracy, completeness, consistency, and correctness of all files


  • validating column mappings, contact fields, and data structure prior to submission


Kendal AI does not provide data cleaning, restructuring, enrichment, deduplication, correction, or manual editing of spreadsheets, Excel files, or databases. Any discrepancies, errors, omissions, or inconsistencies originating from the Client’s source files remain the Client’s responsibility.

Data will be imported based on the final version submitted by the Client. Kendal AI is not liable for issues arising from:

  • incorrect formatting


  • missing or malformed fields


  • duplicate or conflicting records


  • outdated or inaccurate source data


Following completion of migration or import, the Client will have a review period of four (4) weeks to validate the imported data and report any migration-related issues in writing.

If no issues are raised within this review period, the migration shall be deemed accepted and final, and Kendal AI will not be responsible for revisiting, correcting, or re-importing data thereafter.


2G. Client Access & Security Responsibility

The Client is responsible for managing user access, permissions, and credential security. Kendal AI is not liable for misuse or unauthorized access caused by Client-side access failures.


2H. Third-Party Service Dependencies

Kendal AI relies on third-party platforms including Meta, WhatsApp, real estate portals, cloud hosting, and telecom providers. Kendal AI is not responsible for disruptions caused by third-party services.


3. Contract Duration, Cancellations & Renewals


3.1 Contract Start Date and Trial Period

The contract start date (“Contract Start Date”) is the date on which the Client completes payment and Kendal AI activates the account.

All new Clients enter an initial three (3) month trial period starting from the Contract Start Date.

If the Client does not provide written notice of cancellation at least fifteen (15) days prior to the end of the trial period, the agreement will automatically convert into a twelve (12) month annual contract, commencing immediately after the trial period ends.

Kendal AI may provide renewal reminders as a courtesy, but failure to receive notice does not affect enforceability.


3.2 Annual Contract Lock-In

Once converted into an annual contract, the Client is committed to the full twelve (12) month term.

The annual contract is non-cancellable for convenience, and the Client remains liable for all fees for the entire contract duration, regardless of platform usage, performance, or internal business changes.


3.3 User Licenses and Account Expansion

The number of users licensed under the Client’s account is locked for the duration of the annual contract.

Clients may request to add additional users at any time during the contract term. Once added:

  • the additional users become part of the active contract


  • pricing for the added users is co-termed with the existing contract


  • the total user count cannot be reduced during the contract period


User reductions, downgrades, or removals are not permitted mid-term under any circumstances.


3.4 Renewals and Pricing Adjustments

At the end of the annual contract, the agreement will automatically renew for an additional twelve (12) month term, unless written notice of non-renewal is provided at least thirty (30) days prior to the renewal date.

Pricing may be adjusted upon renewal unless price protection has been explicitly agreed in writing.


4. Data Ownership & Retrieval

Clients may export data within 60 days of termination. Data will be provided in standard formats supported at the time of export. Kendal AI is not obligated to retain data beyond this period.


5. Acceptable Use

The Client agrees not to use the platform for spam, fraud, harassment, or illegal activities. Kendal AI may suspend or terminate access without refund for violations.


6. Indemnification, Warranties & Liability


6.1 Indemnification

The Client agrees to indemnify Kendal AI for claims arising from misuse, policy violations, or unlawful messaging.


6.2 Disclaimer of Warranties

Services are provided “as is” and “as available.” Kendal AI does not guarantee performance outcomes, uptime, or error-free operation.


6.3 Limitation of Liability

Kendal AI’s total liability is capped at fees paid in the three (3) months preceding the claim.


6.4 Intellectual Property

All platform IP, workflows, automations, templates, and system architecture remain the exclusive property of Kendal AI.


6.5 Confidentiality

Both parties agree to keep confidential any non-public information disclosed during the agreement.


6.6 Assignment

The Client may not assign this Agreement without consent. Kendal AI may assign as part of a corporate transaction.


7. Dispute Resolution

Disputes shall be resolved via binding arbitration under AAA rules in Delaware.


8. General Terms

This Agreement is governed by Delaware law. Kendal AI may amend terms, with continued use constituting acceptance. Force majeure applies.

  • General requests, questions, or non-blocking issues are typically responded to within twenty-four (24) to forty-eight (48) business hours.


Response times are indicative targets and not guaranteed service levels. Resolution timelines may vary depending on issue complexity, third-party dependencies, and Client responsiveness.

For non-urgent matters, Clients may also contact Kendal AI via email. WhatsApp remains the primary and fastest support channel during business hours.


2B.2 Training & Enablement

Each Client account is entitled to one (1) training session per quarter.

Training sessions may be delivered in-person or online, depending on account size, scope, and operational requirements. The format and scheduling of training sessions are determined by the assigned account manager in coordination with the Client.

Training is structured into two distinct categories:

  • Agent training, focused on day-to-day platform usage


  • Admin training, focused on system configuration, permissions, listings, and oversight


In addition to the standard entitlement, additional training sessions may be scheduled at Kendal AI’s discretion on a case-by-case basis, depending on account needs, complexity, and capacity.

Kendal AI reserves the right to limit, reschedule, or consolidate training sessions to ensure operational efficiency across accounts.


2C. Platform Availability & Service Levels

Kendal AI uses commercially reasonable efforts to ensure platform availability but does not guarantee uninterrupted or error-free operation. Temporary interruptions may occur due to maintenance, updates, or third-party outages.


2D. Planned Maintenance & Updates

Kendal AI may perform maintenance and updates from time to time to ensure platform stability, security, and performance. Such maintenance may result in temporary service interruptions, and Kendal AI bears no liability for any downtime arising from these activities.

Planned Maintenance and Upgrades.
Planned maintenance includes scheduled system upgrades, feature enhancements, infrastructure improvements, and routine maintenance. Where reasonably practicable, Kendal AI will provide advance notice of planned maintenance that may materially impact service availability.

Emergency Maintenance.
Emergency maintenance may be required to address security vulnerabilities, system failures, third-party outages, or other urgent technical issues. Emergency maintenance may be carried out without prior notice if necessary to protect the integrity, security, or functionality of the platform.

System Updates and Improvements.
Kendal AI may deploy system updates, patches, and enhancements as part of the ongoing development of the platform. These updates may modify, improve, or deprecate certain features. Kendal AI does not guarantee uninterrupted access during such updates and is not liable for any resulting service interruption.


2E. Feature Modifications & Product Evolution

Kendal AI is an evolving platform. Kendal AI may modify, enhance, or discontinue features. Such changes will not materially reduce the core subscribed functionality during an active contract term.


2F. Data Migration & Import Limitations

Data migration and import assistance is provided on a best-effort basis only. Kendal AI is not responsible for discrepancies caused by source data quality, third-party limitations, or incomplete Client information.

Where the Client has opted for data migration or data import services, Kendal AI will import data strictly as provided by the Client.

The Client is solely responsible for:

  • preparing data in the required format communicated by Kendal AI


  • ensuring accuracy, completeness, consistency, and correctness of all files


  • validating column mappings, contact fields, and data structure prior to submission


Kendal AI does not provide data cleaning, restructuring, enrichment, deduplication, correction, or manual editing of spreadsheets, Excel files, or databases. Any discrepancies, errors, omissions, or inconsistencies originating from the Client’s source files remain the Client’s responsibility.

Data will be imported based on the final version submitted by the Client. Kendal AI is not liable for issues arising from:

  • incorrect formatting


  • missing or malformed fields


  • duplicate or conflicting records


  • outdated or inaccurate source data


Following completion of migration or import, the Client will have a review period of four (4) weeks to validate the imported data and report any migration-related issues in writing.

If no issues are raised within this review period, the migration shall be deemed accepted and final, and Kendal AI will not be responsible for revisiting, correcting, or re-importing data thereafter.


2G. Client Access & Security Responsibility

The Client is responsible for managing user access, permissions, and credential security. Kendal AI is not liable for misuse or unauthorized access caused by Client-side access failures.


2H. Third-Party Service Dependencies

Kendal AI relies on third-party platforms including Meta, WhatsApp, real estate portals, cloud hosting, and telecom providers. Kendal AI is not responsible for disruptions caused by third-party services.


3. Contract Duration, Cancellations & Renewals


3.1 Contract Start Date and Trial Period

The contract start date (“Contract Start Date”) is the date on which the Client completes payment and Kendal AI activates the account.

All new Clients enter an initial three (3) month trial period starting from the Contract Start Date.

If the Client does not provide written notice of cancellation at least fifteen (15) days prior to the end of the trial period, the agreement will automatically convert into a twelve (12) month annual contract, commencing immediately after the trial period ends.

Kendal AI may provide renewal reminders as a courtesy, but failure to receive notice does not affect enforceability.


3.2 Annual Contract Lock-In

Once converted into an annual contract, the Client is committed to the full twelve (12) month term.

The annual contract is non-cancellable for convenience, and the Client remains liable for all fees for the entire contract duration, regardless of platform usage, performance, or internal business changes.


3.3 User Licenses and Account Expansion

The number of users licensed under the Client’s account is locked for the duration of the annual contract.

Clients may request to add additional users at any time during the contract term. Once added:

  • the additional users become part of the active contract


  • pricing for the added users is co-termed with the existing contract


  • the total user count cannot be reduced during the contract period


User reductions, downgrades, or removals are not permitted mid-term under any circumstances.


3.4 Renewals and Pricing Adjustments

At the end of the annual contract, the agreement will automatically renew for an additional twelve (12) month term, unless written notice of non-renewal is provided at least thirty (30) days prior to the renewal date.

Pricing may be adjusted upon renewal unless price protection has been explicitly agreed in writing.


4. Data Ownership & Retrieval

Clients may export data within 60 days of termination. Data will be provided in standard formats supported at the time of export. Kendal AI is not obligated to retain data beyond this period.


5. Acceptable Use

The Client agrees not to use the platform for spam, fraud, harassment, or illegal activities. Kendal AI may suspend or terminate access without refund for violations.


6. Indemnification, Warranties & Liability


6.1 Indemnification

The Client agrees to indemnify Kendal AI for claims arising from misuse, policy violations, or unlawful messaging.


6.2 Disclaimer of Warranties

Services are provided “as is” and “as available.” Kendal AI does not guarantee performance outcomes, uptime, or error-free operation.


6.3 Limitation of Liability

Kendal AI’s total liability is capped at fees paid in the three (3) months preceding the claim.


6.4 Intellectual Property

All platform IP, workflows, automations, templates, and system architecture remain the exclusive property of Kendal AI.


6.5 Confidentiality

Both parties agree to keep confidential any non-public information disclosed during the agreement.


6.6 Assignment

The Client may not assign this Agreement without consent. Kendal AI may assign as part of a corporate transaction.


7. Dispute Resolution

Disputes shall be resolved via binding arbitration under AAA rules in Delaware.


8. General Terms

This Agreement is governed by Delaware law. Kendal AI may amend terms, with continued use constituting acceptance. Force majeure applies.
